engage ROMAN SKY MEDIA GROUP for services provided under the
following divisions:
- ROMAN SKY PROMOTIONS (video advertising production)
- ROMAN SKY MUSIC (AI-assisted music composition and licensing)
- ROMAN SKY COLLECTIVE (AI talent representation and booking)By placing an order, submitting a briefing form, signing a
project agreement, or otherwise engaging our services, you
confirm that you have read, understood, and agree to these Terms.─────────────────────────────────────────2. DEFINITIONS"We / Us / Our" refers to ROMAN SKY MEDIA GROUP and its divisions.
"Client / You" refers to the individual or legal entity
engaging our services.
"Deliverables" means all creative outputs produced under a
project, including videos, images, audio tracks, and related files.
"Project Agreement" means any written confirmation, invoice,
or briefing form accepted by both parties.─────────────────────────────────────────3. SERVICES3.1 ROMAN SKY PROMOTIONS
We produce conversion-focused video advertisements and visual
content using AI-assisted workflows combined with human
creative direction and quality control. Services include but
are not limited to: short-form video ads, 4K still images,
social media content, and AI influencer testimonial videos.3.2 ROMAN SKY MUSIC
We compose, produce, and license AI-generated music tracks,
jingles, soundscapes, and sonic identities using Suno Pro and
related tools. Each order includes two finished variants
delivered as WAV and MP3, with full licensing documentation.3.3 ROMAN SKY COLLECTIVE
We operate a curated marketplace for AI-generated talent
(virtual models, AI actors, AI influencers). We facilitate
introductions between rights holders and brands or agencies
seeking to book AI talent for campaigns and branded content.
A 10% commission applies to all confirmed, paid bookings
facilitated through ROMAN SKY COLLECTIVE.─────────────────────────────────────────4. ORDERS AND PROJECT AGREEMENTS4.1 An order is considered accepted when we confirm it in
writing (by email or via a signed project agreement).4.2 We reserve the right to decline any order at our
discretion, including orders that conflict with our content
standards or applicable law.4.3 For ROMAN SKY PROMOTIONS and ROMAN SKY MUSIC, the Client
must complete a briefing form prior to production. We are not
liable for errors or omissions that result from incomplete
or inaccurate briefing information provided by the Client.─────────────────────────────────────────5. PRICING AND PAYMENT5.1 All prices are stated in Euro (€) and are exclusive of
applicable taxes unless otherwise stated.5.2 For ROMAN SKY PROMOTIONS projects, a deposit of 50% of
the total project fee is due upon order confirmation.
The remaining balance is due upon delivery of final files.5.3 For ROMAN SKY MUSIC, full payment is due upon order
confirmation before production begins.5.4 For ROMAN SKY COLLECTIVE bookings, our 10% commission
is invoiced upon confirmation of a paid booking.5.5 Invoices are payable within 14 days of the invoice date
unless otherwise agreed in writing.5.6 We reserve the right to withhold delivery of final
Deliverables until full payment has been received.─────────────────────────────────────────6. DELIVERY AND TIMELINES6.1 Estimated delivery timelines are stated at the time of
order confirmation. All timelines are indicative and not
guaranteed unless expressly confirmed in writing as binding.6.2 Standard delivery for ROMAN SKY PROMOTIONS projects is
5–14 business days depending on package. Rush 48-hour
delivery is available for an additional fee.6.3 Standard delivery for ROMAN SKY MUSIC is 48 hours.
Express 24-hour delivery is available for an additional fee.6.4 Delays caused by the Client (e.g. late provision of
assets, delayed feedback, or late payment) do not constitute
a breach on our part and may extend the delivery timeline.─────────────────────────────────────────7. REVISIONS7.1 ROMAN SKY PROMOTIONS packages include 2 revision rounds
unless otherwise stated. Additional revisions are available
at €79 per round.7.2 ROMAN SKY MUSIC orders include selection of the 2 best
variants. No revision rounds are included unless otherwise
agreed in writing.7.3 A revision request must be submitted within 5 business
days of delivery. Failure to submit feedback within this
period constitutes acceptance of the Deliverables.7.4 Revisions are limited to adjustments within the original
brief. Changes to the creative direction, concept, or scope
constitute a new order and will be priced accordingly.─────────────────────────────────────────8. INTELLECTUAL PROPERTY AND USAGE RIGHTS8.1 ROMAN SKY PROMOTIONS
Upon receipt of full payment, the Client receives a
worldwide, perpetual, non-exclusive commercial licence to
use the Deliverables for the agreed purposes (social media,
digital advertising, online platforms). Full ownership
transfer is available for an additional fee, to be agreed
in writing.8.2 ROMAN SKY MUSIC
Upon receipt of full payment, the Client receives a
worldwide, perpetual, non-exclusive licence to publish,
perform, and monetise the delivered tracks. Exclusivity
is available for an additional fee. The Client confirms
that submitted prompts and references do not infringe
third-party rights.8.3 ROMAN SKY COLLECTIVE
Usage rights for booked AI talent are governed by the
individual booking agreement between the Client and the
rights holder. ROMAN SKY COLLECTIVE facilitates but is
not party to the licence agreement between Client and
rights holder.8.4 We retain the right to use Deliverables as portfolio
and case study material unless the Client requests
confidentiality in writing prior to project commencement.8.5 The Client warrants that all assets, references, brand
materials, and content provided to us do not infringe any
third-party intellectual property rights. The Client
indemnifies us against any claims arising from such
materials.─────────────────────────────────────────9. AI-GENERATED CONTENT DISCLOSURE9.1 The Client acknowledges that Deliverables produced by
ROMAN SKY PROMOTIONS, ROMAN SKY MUSIC, and ROMAN SKY
COLLECTIVE are created in whole or in part using
AI-generation tools including but not limited to
Higgsfield AI, Suno Pro, and Google Gemini.9.2 The Client is solely responsible for ensuring that
AI-generated content complies with applicable advertising
regulations, platform policies, and disclosure requirements
in their jurisdiction prior to publication.9.3 We make no warranties regarding the suitability of
AI-generated content for any specific regulatory
environment or platform.─────────────────────────────────────────10. PROHIBITED USESThe Client may not use our Deliverables for:
- Content that is unlawful, defamatory, or fraudulent
- Content that sexualises minors
- Deepfakes intended to deceive or impersonate real persons
- Political advertising without prior written agreement
- Any purpose that violates applicable law or platform
terms of serviceViolation of this clause entitles us to terminate the
agreement immediately and revoke any licences granted,
without refund.─────────────────────────────────────────11. WARRANTIES AND LIMITATION OF LIABILITY11.1 We warrant that Deliverables will be produced with
reasonable skill and care.11.2 We do not warrant that Deliverables will achieve any
specific commercial result, reach, or conversion outcome.11.3 To the fullest extent permitted by applicable law,
our total liability to the Client for any claim arising
from or related to our services shall not exceed the
total fees paid by the Client for the specific project
giving rise to the claim.11.4 We are not liable for indirect, consequential,
incidental, or punitive damages, including lost profits
or revenue, even if advised of the possibility of such
damages.─────────────────────────────────────────12. CANCELLATION AND REFUNDS12.1 The Client may cancel an order in writing before
production has commenced. In this case, any deposit paid
will be refunded in full.12.2 Once production has commenced, the deposit is
non-refundable.12.3 If we are unable to complete a project due to
circumstances within our control, we will offer either
a full refund or completion of the project at a
rescheduled date.12.4 For ROMAN SKY MUSIC, due to the immediate nature of
digital delivery, no refunds are available once files
have been delivered and accepted.─────────────────────────────────────────13. CONFIDENTIALITYBoth parties agree to keep confidential any non-public
information shared in connection with a project, including
but not limited to briefs, strategies, pricing, and
business information. This obligation survives termination
of the agreement.─────────────────────────────────────────14. GOVERNING LAW AND DISPUTE RESOLUTION14.1 These Terms are governed by the laws of the Federal
Republic of Germany, excluding its conflict of law
provisions.14.2 For clients domiciled in the European Union, mandatory
consumer protection provisions of the Client's country
of residence remain unaffected.14.3 The parties agree to attempt to resolve any dispute
in good faith before initiating formal proceedings.14.4 The place of jurisdiction for disputes with merchants
(Kaufleute) and legal entities is Viersen, Germany,
to the extent permitted by applicable law.─────────────────────────────────────────15. AMENDMENTSWe reserve the right to amend these Terms at any time.
The version in force at the time of order confirmation
applies to that order. We will notify existing clients
of material changes by email.─────────────────────────────────────────16. SEVERABILITYIf any provision of these Terms is found to be invalid
or unenforceable, the remaining provisions shall continue
